Background

Awaz has developed (a) Awaz mobile application (the “App”); (b) https://www.awaz.co; and / or any other dedicated Awaz websites (the “Website”) (collectively, the “Services”)

Access to Platform

(a) Rights to Use the Platform. Subject to the terms and conditions of this Agreement, Awaz hereby grants Users a limited, non-exclusive, non-transferable, non-sublicensable, right and licence during the Term to: (i) access and internally use the Platform, solely for its intended purpose, to upload, record and submit Communications and Curriculum Vitae/Resume for analysis, (ii) use the resources (content generated by the platform such as questions and answers, curated publicly available content such as YouTube videos) for internal educational purposes (iii) use the reports, analytics and other data generated by the Platform in connection with evaluating and analysing the Communications (the “Awaz Feedback”) for internal educational purposes, and (iv) apply for open job postings of companies as posted from time to time by submitting Curriculum Vitae / Resume and / or video / audio responses to questions (termed as “Interview”).

(b) Restrictions. Users may not copy, decompile, reverse-engineer, disassemble, attempt to derive the source code of, modify, create derivative works of the Platform, or any part thereof, or use the Platform to violate any law or regulation.

Intellectual Property

(a) Awaz Intellectual Property. Awaz retains exclusive ownership of all right, title and interest in and to the Platform, and all intellectual property rights therein. Without limiting the foregoing, Awaz will retain exclusive ownership of (i) all of Awaz’s know-how, concepts, techniques, methodologies, ideas, templates, software, interfaces, utilities and tools, (ii) all updates, modifications, improvements, enhancements and derivative works of the Platform conceived, discovered, developed or reduced to practice, solely or in collaboration with others, and (iii) in each case, all related intellectual property rights. 

(b) Feedback. If Users submit comments, suggestions, or other feedback regarding the Platform or the Platform to Awaz (“Feedback”), user agrees that Awaz will own all intellectual property rights to such Feedback without accounting or obligation to Users.
